Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Minecontacts service provided by Auxity AB ("Auxity", "we", "us", or "our"). By accessing or using the service, you agree to be bound by these Terms.

1. The Service

Minecontacts is a cloud-based service that allows users to connect their email accounts, analyse mailbox data, and extract structured business contact details. The service is intended for professional and business use only. Consumer use is not supported.

2. Contracting party and authority

To use the service, you confirm that you:

  • Have the legal capacity to enter into binding agreements.
  • Own or are duly authorised to connect the email accounts used with the service.
  • Have a valid legal basis for processing any personal data extracted through the service.
  • Are at least 18 years of age.

3. Accounts and access

The service is available via email/password sign-in or via Google or Microsoft OAuth. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Accounts are personal and non-transferable. You must notify us immediately if you suspect any unauthorised access.

4. Acceptable use

You agree that you will:

  • Comply with GDPR and all other applicable data protection and privacy laws.
  • Not use the service for spam, unsolicited marketing, profiling, surveillance, or any unlawful purpose.
  • Not connect mailboxes to which you do not have authorised access.
  • Not attempt to reverse engineer, decompile, resell, or sublicense the service.
  • Not interfere with or disrupt the service or its underlying infrastructure.

5. Customer data and licence

You retain all rights to the data you bring to the service ("Customer Data"). You grant Auxity a limited, non-exclusive licence to process Customer Data solely to: provide the service, maintain security and integrity, troubleshoot issues, prevent fraud, and comply with legal obligations. This licence terminates when your account is closed.

6. Intellectual property

Auxity owns all rights, title, and interest in and to the service, including all software, algorithms, designs, and related intellectual property. These Terms grant you only a limited right to use the service during the term. No other rights are granted, implied, or transferred.

7. AI-assisted features

Minecontacts uses AI to extract and structure contact data. AI-generated outputs may contain errors or omissions and must be reviewed by you before use. Auxity may change AI models or methods at any time without notice. The service is not intended to be used as a basis for automated decisions with significant legal effects on individuals.

8. Fees, subscriptions, and payment

The service may be offered on a subscription or usage-based pricing model. Subscription fees are charged in advance and automatically renew unless cancelled. Auxity may change fees with prior notice. VAT or other applicable taxes will be added where required by law. Fees are non-refundable except as required by mandatory consumer law.

9. Usage measurement, duplicates, and billing logic

Auxity's records are the authoritative source for determining billable usage. We use checksums and hashes to identify previously processed contacts and avoid charging for the same contact twice. You will not be charged for contacts already in your account.

10. Third-party services

The service integrates with third-party platforms including Google, Microsoft, Stripe, Supabase, Azure, Resend, and OpenAI. Auxity is not responsible for interruptions, errors, or changes caused by these providers. Your use of third-party services is also subject to those providers' own terms and policies.

11. Privacy and data protection

Auxity processes personal data as described in our Privacy Policy. Where required under applicable law, Auxity will enter into a Data Processing Agreement with you. You are solely responsible for ensuring your own use of the service complies with applicable privacy and data protection laws.

12. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party. Confidentiality obligations apply during the term and for three years after termination. Customer Data and trade secrets are subject to indefinite confidentiality obligations.

13. Availability, changes, and support

The service is provided "as is" and "as available". Auxity does not guarantee uninterrupted availability. We may change, suspend, or discontinue any part of the service at any time. We will make reasonable efforts to notify users of material changes in advance.

14. Disclaimers

Auxity does not warrant that data extracted through the service will be complete, accurate, or fit for any particular purpose. You are solely responsible for reviewing, verifying, and acting on outputs generated by the service. To the maximum extent permitted by law, Auxity disclaims all implied warranties.

15. Suspension and termination

Auxity may suspend or terminate your access to the service in case of: material breach of these Terms; overdue payment; legal or security risk; suspected fraud; or requirement by a third-party service provider. Upon termination, your access will cease immediately and your data may be deleted in accordance with the Privacy Policy.

16. Limitation of liability

Auxity's aggregate liability for any claims arising under or in connection with these Terms is capped at the total fees you paid in the 12 months preceding the claim. Auxity is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or data. Nothing in these Terms limits liability for fraud, wilful misconduct, or liability that cannot be excluded under mandatory applicable law.

17. Assignment

Auxity may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without Auxity's prior written consent.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you before they take effect, by email or through the service. Your continued use of the service after the effective date of updated Terms constitutes acceptance of the changes.

19. Governing law and disputes

These Terms are governed by Swedish law. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Helsingborg District Court (Helsingborgs tingsrätt), Sweden.
